[K3CAL] January Meeting Minutes

Seems like we're tripping up on semantics. Per the by-laws an Executive Session can only be called for limited reasons, and I think it's clear from those reasons why minutes would not be taken. See attached cut and paste. 

I'm guessing that whatever meeting did occur was not an Executive Session, but loose use of words causes confusion and tribulation.

Ron, 

Your response is very disturbing to me. I don't know what by-laws you are reading but Section 4: Duties of the Secretary: (1) Shall keep a record of the minutes and proceedings of all meetings, and keep records of attendance at all meetings. What part of "all" you don't understand. 

I do recognize that Section 7: Executive Session states that no minutes shall be taken, only results of the meeting recorded. There seems to be a conflict between both passages and if so should be reflected in the Secretary's duties if Executive Sessions are an exception to the requirement to keep a record of the minutes. Personally I think the Secretary's Duties should take precedence. The absence of minutes does not pass the "smell test." 

My questions are: (1) Where do we find the results of the executive meeting?, (2) Who is responsible for publishing the results?, and (3) How do the members know their was a quorum to conduct the meeting if no minutes were recorded?

The minutes are correct as of the January meeting. The executive board meeting was held after the date of the general meeting. According to the By-laws, no minutes are taken at an executive meeting. 73,
