Bylaws

ARTICLE V - OFFICERS:
Sec. 1. The officers of this Association shall be:
President, Vice-President, Secretary and Treasurer.
These
four (4) 
officers, the area directors and the past President
shall become the Board of Directors. If the past
President declines to be on the Board of Directors,
the new President will appoint someone from the
previous
years Board of Directors
Sec. 2. 
The officers of this Association shall be elected for
a term of one year at the fall meeting each year.
The election shall be by mail-in ballot to all the
voting members, the outcome will be decided by a
simple
majority of the mail-in response. The balloting shall
be timed such that new officers can be installed at
the
said fall meeting.
Sec. 3. 
Vacancies occuring between elections due to death,
resignation, relocation or any other reason will
be filled by the President who will appoint the
replacement of the open office with the approval of
the Board
of Directors.
Sec. 4 
A quorum of the Board of Directors is necessary to
remove an officer or Board Director. A quorum
of the Board of Directors is defined as a minimum of
three Directors with at least two being officers.


Article VI - DUTIES OF OFFICERS:
Sec. 1. 
The President shall preside at all meetings of this
Association, and conduct them according to the
rules adopted. He/she shall enforce due observance of
this Constitution and By-Laws, decide all questions of
order, sign all official documents adopted by the
Association, form committees as needed and appoint
members to serve on same, act as ex officio of any
committee formed, facilitate a yearly audit of the
Association’s minutes and accounting records, and
perform all other duties pertaining to the office of
President. All committee members must be paid up
members of the WSWSS. The President shall initiate
communications with other national weak signal groups
with the objective of integrating efforts to
appropriate and/or save weak signal spectrum.
Sec. 2. 
The Vice President shall assume all the duties of the
President in his/her absence. In addition, he/she
shall organize Association’s activities, plan and
recommend contests for operating benefits, and advance
Association’s interest and activity as approved by the
Association. He/she shall maintain close liaison with
his/her ARRL Division Director to further the support
and participation of the Amateur Radio Relay League
in conjunction with the Association. The Vice
President shall be in charge of communications within
the
WSWSS regarding net operations and the newsletter.
Sec. 3. 
The Secretary shall keep a record of the proceedings
of all meetings, keep a roll of numbers, submit
membership applications, carry on all correspondence,
read communications at each meeting, and mail
written meeting notices to each member. At the
expiration of his/her term he/she shall turn over all
items
belonging to the (society) to his/her successor.
Sec. 4. 
The Treasurer shall receive and receipt all monies
paid to the Association, keep an accurate account
of all monies received and expended, pay no bills
without proper authorization by the
association or its officers. At the end of each
quarter he/she shall submit an itemized statement of
disbursements and receipts. At the end of his/her term
he/she shall turn over all items belonging to the
Association to his/her successor.

Article VII - MEETINGS:

Board of Directors Meetings: All board members must be
notified within a reasonable time of Board
meeting dates and the business to be conducted at the
meeting. A quorum of the board meeting will be a
minimum of three (3) Directors with at least two (2)
being officers. A meeting of the main boards plus the
Area Directors will take place at least annually. A
simple majority vote is needed to pass any business.
