[KCDXC] Proposed Constitution

Ladies & Gentlemen:Allow me to make a few brief points regarding the proposed KCDXC  Constitution.
1.     We currently have a constitution in place that, it has been agreed upon has major flaws and needs to be replaced.
2.     Three of us, myself (NØAG), Bill Henderson (KØVBU) and Rob Underwood (KØRU) volunteered (or more precisely were volunteered) to form a committee to write a new constitution for the club. (I might add none of us had any expertise in the legal or legislative field).
3.     Over the last four months we have tried to formulate a document that would serve the KCDXC into the twenty first century.
4.     We attempted to make the Constitution concise and easy to understand.  We thought it should difficult to change.  Consequently we decided that any changes to the Constitution itself should be made by the entire club membership, hence the enabling of the e-vote.  The By-laws on the other hand were designed to provide a methodology for the club to do it's day to day business and be extremely flexible in order to take advantage of short term opportunities.  The By-laws were designed to be easily changed.   We felt that it would not be necessary, indeed counter productive to involve the entire membership in the minor business of the club on a local basis.  That was why a simple majority of the members present (provided a quorum was achieved) at a regular monthly meeting was chosen as the vehicle to amend the by-laws.

Hopefully I have answered some of the questions that have been brought up in the last few days.  I have addressed a specific criticism below.  73, Tom...N0AG

Regarding Bob Roske's (NØUF) e-mail...Sunday April 19, 2009.       A.)  The committee has explained the redundancies that were included in the proposed constitution ad infinitum.  This does not mean they are correct or incorrect.
       B.)  <snippet> this reads, if only 1 vote is received and that vote is Aye, the officer would be removed.             <snippet> This also allows, if only 1 vote is received and that vote is Aye, the change would be approved .       All elections result in an issue being passed or failed.  Should we mandate a minimum of club members vote?  How many?  2%? 10%? 90%?This provides a framework to address specific issues.  In any election if those eligible do not choose to vote they lose their ability to influence the result.
       C.) Regarding the By-laws and a quorum issue.  The By-laws may be changed or amended by the members in a regular meeting provided there is a quorum (10% of the club's members or 10 members, excluding the officers whichever is less.The question was: "A majority of what, the members present or the members voting?"By-Law 10 specifies "Amendments to the by-laws or additional by-laws shall be created via motion made and seconded at regular monthly meeting.  The motion will be voted on and must pass with a majority of members present provided there is a quorum."
