After careful review of the by-laws and procedures taken at the February 13th 2025 General Meeting. The CARA board finds everything to be in order.

OPTION #4

Dear Bill Hackett N3XMZ

Your objection as been submitted to the official CARA records. As you know the normal general meeting held in January, was postponed to accommodate the presentation of the $11,000 MCA Day Grant to CARA, by MCA Vice President Roger Cassell. As a result, per the by-laws, at the boards discretion, the January General meeting was rescheduled to February 13th 2025.

CARA Treasurer Andy KC3WRX, suddenly rendered his resignation to the CARA Board, during the 6:30 PM February 13th 2025 CARA Board meeting,  held just before the 7:30 PM CARA General meeting. A review of the by-laws directed the board, as you have correctly pointed out, to ask for nominations and hold a vote at the next General meeting.

>From Article III, Section 5: "... nominations and elections for the vacant position shall occur at the next General Meeting..."

There is no provision in this by-law that directs the board to advertise the vacant position. There is also no provision in this by-law that allows the board the option of postponing the election beyond the next General meeting. Given the clarity of the by-law, the board proceeded with asking for nominations and taking a vote to fill the vacant position at the next General meeting, which was held immediately after the board meeting on February 13th 2025. 

After careful review of the by-laws and procedures taken at the February 13th 2025 General Meeting. The CARA board finds everything to be in order.
