If you have (or can borrow) a W98 startup floppy and install CD you can 
do it. W98 doesn't have the format protections so you can reformat and 
install 98, then use the ME disk to upgrade it.

I've done it with NT and 2000 and I can't think of a reason why it 
wouldn't work with XP.

Save all of your drivers to floppy because that Dell disk may not have 
the proper drivers for your hardware.
