Dick, we have been incorporated as a non-profit for about three years 
now.  This was necessary for a couple of reasons - to obtain 501c3 status 
for one. This allows us to accept tax deductible (for them) donations from 
businesses. It also provides us some protection in the liability area. It 
was quite a process to go through (develop corporate bylaws, etc), but once 
it was done we were set. Be sure to have an attorney look over things. We 
had some law students at the University of Illinois help us out, and yet we 
still stumbled over one bit of wording over which the state withheld 
tax-exempt status for a time.
