[PARC] Notice of Special Meeting

*To All Members of the Peterborough Amateur Radio Club;*

*Notice of Special Meeting*

Hello Everyone and Best Greetings.

As was discussed at the previous meeting. The March Meeting will be
replaced with a Special Meeting to vote on the changes to the Articles of
Incorporation, and the Bylaws of the Peterborough Amateur Radio Club.

Attached with this letter is:

·         The Proposed Articles of Amendment which is to change our Letters
Patent to comply with the document that has replaced that the Articles of
Incorporation.

·         The 2025 Bylaw Amendments which outlines more clearly the changes
that have been made to the Bylaws.

·         The 2025 Bylaws which is the document I will be signing at the
meeting should the resolution pass and will replace the current Bylaws.

 This is the last step of complying with the new Ontario Non-Profit laws
which we are governed by. A Brief Summary of the changes are:

·         Replacing the requirements of notifying the members by letter
mail with email.

·         Replacing the rules our meetings are governed by from Robert’s
Rules of Order to the Democratic Rules of Order (a much easier to
understand alternative).

·         Allowing the Corporation to Operate with only 3 directors should
no one volunteer for the positions of Activities Director or Vice-President.

·         Preventing the Club from getting bills for reimbursement from a
member a significant time later, when we thought they were donations.

·         Changing the terms to line up with the new Ontario Law.

·         Spelling and Grammar Corrections.

·         Removing some laws that specified positions or other things that
were no longer required (such as repeater council meetings, or repeater
control operators).

As is usual the meeting will be Held March 4th 2025 at 7:30PM at the
Otonabee Valley Public School’s Library 580 River Road South, Peterborough,
ON K9J 1E7. It will also be available virtually on Google Meet via Computer
or Phone.
