[K3CAL] Proposed Constitution and By-laws

The reason this was sent now is so we all have had a chance to read and
offer our thoughts about it at this Thursday's meeting. I am sure that a few
members have been making notes and we hope that everyone will give their
input and be proud of the final product. Just bring you notes to the meeting
and voice your opinion, the association belongs to the members and the
members have the final say in what we pass as the final documents. 

Hope to see you all Thursday and let's hope this month's cookie monster Jack
KB3WUM supplies us some good food for thought during the break!

Thanks for sending this out to us.  I have a few suggestions for changes to
the draft CARA Constitution and By-Laws dated 3 June 2012.
 
Draft CARA Constitution as of 3 June 2012
 
Article II Purpose: 
- "It shall be the purpose of CARA . . .," instead of, " It shall be our
purpose . . ."
 
Article VII Meetings:
- Four members and one officer sounds kind of small for a quorum, especially
if CARA keeps growing like it has this past year. Maybe 20% of the full
members, but at least four, plus two officers.

Draft CARA By-Laws as of Sunday, June 3rd 2012
 
Article III, Section 2: Number and Term of Office.
- (current) " The Board shall serve for a term of one (1) year, and shall be
limited to two consecutive tems." Is the intent to limit each officer to two
consecutive terms, or to limit any person from being on the the board for
more than two consecutive terms? For example, if someone is Secretary (or
Director at Large) one year, then VP the next year, can they be elected
President the third year? This should be clarified.
Article IX Amendments:Section 1: Amendment of Articles of Incorporation.
 
- This is appropriately addressed in Article X of the Constitution. It
should probably not be repeated in the By-Laws.

Thanks to the hard work of the Constitution and By-law committee we have
fresh new documents which are attached to this email. These documents are
proposed and not yet ratified until voted in. These are being sent out for
you to review so you can discuss any issues you may have at the next
meeting, this Thursday. These are private association documents and are not
intended for public disclosure at this time. Please do not share these
documents or any part of them with any other people.  
We all owe the committee a great big THANK YOU as they have spent many hours
working on these and getting them ready so quickly. Thank you to Jim K3UGA,
Shawn N3AE, Ron WA4PRR, Bill N3XMZ and John KB3SXC for giving their time to
