Did you check >energy saver >wake options for wake when the modem
detects a ring and wake for ethernet network administrator access to
make sure they are unchecked.
Just a thought.
I had a problem like yours a few years ago with an earlier version of
OSX and a G4 533 dual, it turned out to be an after market board I
had in the computer.
