Hi

One minor adjustment to that pretty detailed plan.

It is not at all uncommon have a long term lease on the building in a
transfer like this. That reduces the size of the bank loan required and 
gives the seller a nice constant flow of cash for years to come.

Even if the building becomes a warehouse, it’ may be that the net cost
of leasing the building is less than the cost of moving all the inventory
to a new home, putting up shelving there and paying rent on that new home. 

Another thing that often smooths out the cashflow a bit is that payment
for the business itself is often a three stage process. It might be spread out
over several years. Yes, the bulk will be paid before you take full possession.
It’s not going to be *that* big a spread. 

On the other side, don’t forget all those the fees to the lawyers.
